The Joint-Stock Company "ANOR BANK" announces to the shareholders about the preferential right

DEAR SHAREHOLDERS OF JSC «ANOR BANK»!

The Supervisory Board of JSC “ANOR BANK” informs that on 19^th of October, 2022, the Ministry of Finance of the Republic of Uzbekistan registered the Decision on additional issue of ordinary registered uncertificated shares of JSC “ANOR BANK” in the amount of 70,000,000 pieces with a nominal value of 1000 UZS each for a total amount of 70 000 000 000 UZS by closed subscription through private placement.

In accordance with the Decision on the additional issue, the shareholders of JSC “ANOR BANK”, the owners of ordinary non-documentary shares, have the priority right to purchase shares from this issue in proportion to the number and type of shares they own. The priority right to purchase is held by the shareholders - owners of shares of JSC “ANOR BANK”, recorded in the register of shareholders, formed as of 13^th of October, 2022.

The priority right is valid for 10 calendar days from the date of publication of this notice.

In accordance with the decision of the Supervisory Board of JSC “ANOR BANK”, the placement price of shares was determined in the amount of 1,000 UZS per share.

Shareholder with the priority right has the right to fully or partially exercise his priority right by sending an application in writing to JSC “ANOR BANK” on the acquisition of shares, containing the full name, place of residence (location) of the shareholder, the number of shares acquired by him, proof of payment and contact phone number. Such an application must be submitted to JSC “ANOR BANK” during the period of validity of the priority right.

The placement of shares of this issue will be carried out on the unorganized over-the-counter securities market by concluding relevant agreements on the basis of civil law transactions and registering them with “UNIVERSAL DEPOZIT” LLC in the manner prescribed by the legislation of the Republic of Uzbekistan.

Assignment of the priority right is not allowed.

After the expiration of the priority right, the remaining number of shares will be sold to Olimov Kaxramonjon Anvarovich.
